Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Hapag App platform ("Service") provided by Aetherium Software LTDA ("Aetherium"). By using the Service, you agree to these Terms.

2. Eligibility

The Service is intended for restaurants legally registered in their jurisdiction and for end customers placing orders. You must be at least 18 years old to create a restaurant account.

3. Restaurant accounts

Restaurants are responsible for the accuracy of their content (menus, prices, photos, branch addresses), for fulfilling orders received through the Service and for compliance with all local food-safety, tax and consumer-protection laws.

4. Subscription and billing

The Service is offered as a monthly subscription. New restaurants receive one (1) month at no charge as a free trial, starting on the date their account is approved. After the trial period, the subscription fee is invoiced monthly. Aetherium does not charge commission on orders or deliveries.

5. Payments to restaurants

Customer payments via GCash, Maya or other e-wallets are processed directly to each restaurant's account using credentials provided by the restaurant. Aetherium does not collect or hold customer payments.

6. Acceptable use

You agree not to: (a) upload unlawful, infringing or misleading content; (b) attempt to disrupt the Service or gain unauthorized access; (c) use the Service to spam customers; (d) misrepresent your identity or authority.

7. Intellectual property

Aetherium retains all rights to the Service, including the Hapag name, logo, software and design system. Restaurants retain all rights to the content they upload but grant Aetherium a license to display it within the Service.

8. Termination

We may suspend or terminate accounts that violate these Terms. You may terminate your account at any time. Outstanding subscription fees remain due upon termination.

9. Disclaimer

The Service is provided "as is". To the maximum extent permitted by law, Aetherium disclaims all warranties and is not liable for indirect or consequential damages arising from use of the Service.

10. Governing law

These Terms are governed by the laws of the Philippines. Disputes shall be resolved in the courts of Metro Manila.
